Terms of Service

Effective: April 3, 2026

1. Parties

These Terms of Service (“Terms”) constitute a binding agreement between you (“Client,” “you”) and JadeTrade Marketplace LLC (“JadeTrade,” “Company,” “we,” “us”), a limited liability company registered in the State of Maine, operating under the domain jadetradeapp.com.

By purchasing a website through our self-checkout system, hiring us on Upwork, or otherwise engaging our services, you agree to be bound by these Terms in full. You represent and warrant that you are authorized to act on behalf of the business for which the work is performed, including the authority to approve deliverables, authorize the use of the business's name, logos, photographs, and content, and to bind the business to these Terms.

2. Services

JadeTrade provides website design, development, and related digital services. Our primary offering is one-time website redesigns delivered as static front-end websites built with Next.js and hosted on Vercel.

A standard website purchase includes:

  • The complete website as previewed (all pages)
  • Domain connection assistance (DNS instructions via email)
  • Hosting on Vercel (no monthly hosting fees to us)
  • SSL certificate (provided automatically by Vercel)

A standard purchase does not include:

  • Ongoing maintenance, updates, or technical support
  • Content changes, revisions, or additional pages
  • Domain registration or renewal
  • Email hosting, backend functionality, e-commerce, or database services
  • SEO services beyond basic meta tags

Scope may vary for Upwork engagements, which are governed by Upwork's Terms of Service in addition to these Terms.

3. Additional Work

Any work beyond the agreed scope — including design revisions, new pages, feature additions, content updates, or ongoing maintenance — is available at our then-current hourly rate (currently $150/hr USD) through Upwork. Additional work requires a separate agreement.

4. Payment

For self-checkout purchases, payment is processed securely through Stripe, Inc. The full amount is due at the time of purchase. We do not store credit card information — all payment data is handled directly by Stripe in accordance with PCI-DSS standards.

For Upwork engagements, payment is handled through Upwork's payment system.

5. Delivery

For self-checkout purchases: upon successful payment, the website preview password is automatically removed and you receive DNS instructions via email. The site goes live on your domain once you update your DNS settings.

For Upwork engagements: delivery timelines are agreed upon within the Upwork contract.

6. Refund Policy

For self-checkout purchases: because the website is fully built and visible before purchase, all sales are final. No refunds will be issued after payment. If you experience a technical issue preventing access to your purchased site, contact us and we will resolve it promptly.

For Upwork engagements: refund and dispute policies are governed by Upwork's Terms of Service.

7. Intellectual Property

Upon receipt of full payment, we grant you a perpetual, non-exclusive, non-transferable license to use, display, and modify the delivered website for your business purposes.

You retain all rights to your business name, logos, photographs, and original content. We retain the right to use general design techniques, code patterns, and non-proprietary components in future projects. We may reference the project in our portfolio unless you request otherwise in writing.

Third-party components (open-source libraries, fonts, icon sets) are subject to their respective licenses. All third-party components used are permissively licensed for commercial use.

8. Content & Accuracy

Websites are built using publicly available information from your existing website, business listings, and social media profiles. While we make reasonable efforts to ensure accuracy, you are responsible for reviewing all content and notifying us of inaccuracies. We are not liable for errors in content sourced from your public-facing materials.

9. Unsolicited Preview Websites

As part of our business model, we may create website redesign previews for businesses without prior request or authorization. These previews are concept demonstrations created using publicly available information and are hosted on private, password- protected URLs that are not indexed by search engines.

Preview websites are not published, advertised, or made publicly accessible. They are shared exclusively with the business owner or an authorized representative via direct communication. No preview site is made public without the business owner's explicit consent (demonstrated by completing the checkout process).

If you receive a preview and do not wish to purchase, no action is required. The preview will be taken down and your business will be added to our permanent exclusion list to prevent future contact. You may request immediate removal of any preview at any time by contacting us.

10. Use of Business Information & Trademarks

Preview websites may include your business name, logo, photographs, service descriptions, reviews, and other publicly available information. This use constitutes nominative fair use for the purpose of demonstrating a potential service — we are showing you what your website could look like, not claiming affiliation with or endorsement by your business.

All trademarks, service marks, trade names, and logos displayed on preview websites remain the exclusive property of their respective owners. JadeTrade does not claim ownership of any client trademarks or intellectual property.

If you believe any content on a preview website infringes your rights, contact us at maxwell@jadetradeapp.com and we will remove it within 48 hours.

11. Data Collection from Public Sources

To create website redesigns, we collect and use publicly available business information including but not limited to: business name, address, phone number, operating hours, service descriptions, pricing, staff names and titles, photographs published on your website or social media, customer reviews from Google and Yelp, and other information available through public business directories.

We do not access any private, password-protected, or non-public information. We do not scrape personal social media accounts — only public business profiles and pages. All collected information is used solely for the purpose of creating an accurate website redesign demonstration.

You may request that we delete all collected information about your business at any time by contacting us. Upon such request, we will delete the information and add your business to our permanent exclusion list within 30 days.

12. Hosting & Transfer

Websites are hosted on Vercel's infrastructure under our account. We do not guarantee any specific uptime, availability, or performance level. We are not responsible for outages caused by Vercel, your domain registrar, or internet infrastructure.

Upon request, we will transfer the Vercel project to your own account or provide the complete source code for independent hosting. We reserve the right to remove a site from our infrastructure if transferred to your account or if not connected to a domain within 90 days of purchase.

13. Limitation of Liability

To the maximum extent permitted by law, JadeTrade Marketplace LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our services or delivered websites. Our total liability shall not exceed the amount you paid for the service.

14. Disclaimer of Warranties

All services and deliverables are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Indemnification

You agree to indemnify and hold harmless JadeTrade Marketplace LLC, its members, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) your use of delivered websites, (b) your violation of these Terms, or (c) any content you add to or modify after delivery.

16. Governing Law

These Terms shall be governed by the laws of the State of Maine, without regard to conflict of law provisions. Disputes shall be resolved in the state or federal courts located in Maine.

17. Modifications

We reserve the right to update these Terms at any time. Changes are effective immediately upon posting. Your engagement is governed by the Terms in effect at the time of purchase or contract execution.

18. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.
